Friend Referral Campaign Terms and Conditions

1. Campaign definition

This campaign is a campaign in which, based on these terms and conditions, SEAGAIA PREMIUM MEMBERS CLUB (hereinafter referred to as "SPMC") member (hereinafter referred to as "Referrer") introduces SEAGAIA official app (hereinafter referred to as "App") to a Referred Person (defined in (2) of "3. Conditions for Participants" below), and after the Referred Person becomes a new SPMC member, both the Referrer and the Referred Person (hereinafter collectively referred to as "Participant") can earn benefits.

2. Scope of Application of These Terms

(1) These Terms and Conditions govern the content of this Campaign.
(2) When participating in this campaign, participants are subject to these terms and conditions, the app terms of use, the SPMC membership terms and conditions, and the accommodation terms and conditions (collectively referred to as the "Terms, etc."). Phoenix Resort Co., Ltd. (hereinafter referred to as the "Company") will assume that participants agree to these Terms, etc. by participating in this campaign. Please carefully read the Terms, etc. in advance.

3. Participant Conditions

(1) At the time of introducing the Referrer, the Referrer must be an SPMC member and have downloaded and logged in to the app.
(2) A Referred Person is someone who has become a member in accordance with ② of "4. Conditions for Acquiring Benefits" below. Please note that if you are an SPMC member before participating in this campaign, you will not be a Referred Person and will therefore not be eligible for the benefits.
(3) The same person cannot be both the introducer and the referred person at the same time.
(4) This campaign may only be applied once by the same introducer and referred person (regardless of the combination of introducer/referred person).
(5) This Campaign is limited to the personal use of the individual Participant, and cannot be used for the purpose of paid promotions such as online advertising or similar sales activities in which the Company is not directly involved.
(6) When participating in this campaign, the information shared between the introducer and the introduced person is as set forth in "5. Information of the introducer." If you do not agree to this, you will not be able to participate in this campaign, so please make sure to check this information carefully in advance.

4. Conditions for obtaining rewards

Here are the steps participants must take to receive their rewards:
(1) The Introducer will share with the Referee the App download link (hereinafter referred to as the "DL Link") for the Referee in accordance with the procedures specified by the Company.
(2) The referred person who receives the download link will click on the link, agree to the app terms of use, and register as an SPMC member. When registering, they will also enter the referral code shared with them along with the download link.
(3) If the SPMC membership registration is completed in accordance with (2) above, the referred person will be awarded 200 points (hereinafter, the points awarded to participants through this campaign are referred to as "referral points") as a benefit of this campaign.
(4) After the Referred Person registers as an SPMC member pursuant to (2) and the Company confirms the Referred Person's membership registration, the Referrer will be awarded Referral Points. Referral Points will be awarded after the Referred Person registers as an SPMC member.

5. Referrer Information

By sharing the referral link with the referee, the referrer agrees in advance that the referrer's name will be automatically shared with the referee.

6. Point Limit

(1) There is no limit to the number of referral points that an introducer can receive in this campaign.
(2) Even if a Referred Person receives the Referral Link for this Campaign from multiple Referrs, they can only earn Referral Points once.

7. Expiration date of referral points

The expiration date of referral points is four years, including the current fiscal year in which the referral points were acquired, in accordance with the SPMC Membership Terms and Conditions "Usage Guide."

8. Precautions

(1) Referral points will not be awarded if any of the following "9. Prohibited acts" is violated. Please note that even if referral points have been awarded, they will be invalid or cancelled if such prohibited acts are discovered.
(2) If a participant has already used referral points at the time the prohibited conduct is discovered, we will charge the referrer and the referred person the amount equivalent to the referral points earned.
(3) Participants may not appeal against our actions based on the preceding two paragraphs.

9. Prohibitions

(1) Participants shall not engage in any of the following acts, either by themselves or through a third party:
① Using referral links for the purpose of online advertising or other reward-based promotions or similar sales activities
② Registering or providing false information when registering as a member or participating in this campaign.
③ Improperly obtaining or using the information or points of a third party's SPMC members
④ Any act of impersonating our company or any act that may lead to the misunderstanding that such an act has occurred
⑤ Any act violating any other provisions of these Terms and Conditions.
⑥ Any other actions that the Company deems inappropriate
(2) If damage is incurred by our company due to any of the reasons set forth in the preceding paragraph, our company may claim compensation for the full amount of damage from the participant.

10. Changes to this Campaign and these Terms and Conditions

(1) The content, conditions, and prizes of this campaign may be changed or canceled without notice.
(2) If the Company deems it necessary, the Company may change these Terms and Conditions and take any measures necessary to ensure the proper operation of the Campaign. By applying for the Campaign, the Applicant agrees not to raise any objections whatsoever regarding the method by which the Campaign is run by the Company.
(3) The terms and conditions prior to the change shall apply to any referral points earned by participants prior to the change of terms and conditions pursuant to the preceding paragraph.

11. Disclaimer

(1) If we determine that an applicant has violated these Terms and Conditions, we may take any measures we deem necessary.
(2) If we determine that it is necessary to temporarily suspend or cancel the provision of this Campaign due to system maintenance or failure, fire or power outage, natural disasters such as earthquakes, lawful orders or requests from a court, public prosecutor's office, police station or other public authority, or the operating environment of related applications or other operational or technical issues, we may temporarily suspend or cancel the provision of this Campaign without prior notice.
(3) We shall not be obligated to compensate or provide any damages, losses, or other expenses incurred by applicants due to the implementation, suspension, or cancellation of this Campaign, or any troubles incurred by introducers and introduced persons, or participants and third parties, except in cases where we are at fault.
(4) Even if the Company is liable for damages to an applicant, the scope of the Company’s liability shall be limited to the actual and direct damage suffered by the applicant, and the Company shall not be liable for damages, lost profits, indirect damages, or other damages arising from special circumstances, regardless of whether the Company could have foreseen them, unless the Company is guilty of willful misconduct or gross negligence.
(5) Even if any part of these Terms and Conditions is deemed invalid due to mandatory provisions, the other parts shall remain valid.

12. Handling of Personal Information

The personal information you submit will be used by our company to contact you about this campaign, and will also be used in the form of non-personally identifiable statistical information for reference in relation to our products and services.
We will not disclose or provide your personal information to any third party other than our business partners without your consent (except when disclosure is required by law, etc.).
Your personal information will be managed safely and appropriately in accordance with our privacy policy (https://seagaia.co.jp/privacypolicy).

13. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by the laws of Japan, and any disputes arising out of these Terms and Conditions shall be submitted to the exclusive jurisdiction of the district court with jurisdiction over our head office location.
